Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of PSV Fleet ("the Service"), a fleet management platform operated by PSV Fleet Ltd ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

The Service is provided as a software-as-a-service (SaaS) platform for managing passenger service vehicle (PSV) fleets, including vehicle registers, DVSA walkaround checks, bookings, maintenance, defect tracking, driver management and compliance monitoring.

2. Account Registration

To use the Service you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use of your account

You must be at least 18 years of age and have the authority to bind the organisation you represent.

3. Subscriptions and Payment

The Service is provided on a subscription basis. Subscription plans and pricing are set out on our website. By selecting a plan you agree to pay the applicable fees.

• Subscriptions are billed monthly in advance
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' written notice
• Failure to pay may result in suspension or termination of your account
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates any applicable law or regulation
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use the Service to transmit any harmful or malicious code
• Share your account credentials with unauthorised persons
• Use automated scripts or bots to access the Service without our written consent

5. Data Ownership

You retain all ownership rights to the data you input into the Service. We do not claim ownership of your fleet data, driver information, bookings, walkaround records, or any other content you create.

We are granted a limited licence to process your data solely for the purpose of providing and improving the Service. We will not sell, rent, or share your data with third parties except as described in our Privacy Policy.

6. Data Export and Portability

You may export your data at any time through the built-in data export feature. Upon termination of your account, we will retain your data for 30 days to allow for export, after which it will be securely deleted.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or interruption of service.

8. Limitation of Liability

To the maximum extent permitted by law, PSV Fleet Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless PSV Fleet Ltd, its officers, directors, employees and agents from any claims, losses, damages, liabilities, costs and expenses arising out of your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination:

• Your right to use the Service ceases immediately
• We will make your data available for export for 30 days
• After 30 days, all data will be securely deleted

11. Modifications

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
